Moments Build up in Tata Trusts as Centre Watch Governance Division.
Refernce to India Today. It was reported that a closed-door meeting with the Tata Trusts chairman Noel Tata, Tata Sons chairman N Chandrasekaran, and senior government officials has been held in New Delhi on Tuesday. As stated by PTI, the delegation had an audience with Amit Shah (Home Minister) and Nirmala Sitharaman (Finance Minister) aiming at discussing the current problems regarding the governance system of Tata Trusts.
Noel Tata was escorted by Venu, the chairman emeritus of TVS Motor Company and senior lawyer, Darius Khambata. The conference was held in the house of Amit Shah, but it was not revealed publicly what was on the agenda.
Radicalizing Rift Within Tata Trusts Since the Death of Ratan Tata.
It has been reported that internal wrangling has been worsening in Tata Trusts since the death of Ratan Tata in October 2024. The disputes are allegedly concerning board supervision, governance strategies and involvement of trustees in the strategic management of the group.
According to sources mentioned by CNBC-TV18, the Union Government is not unaware of the situation, keeping a watch over the situation. As Tata Trusts owns a 65.9 per cent. stake in Tata Sons, there have been fears over the potential effect on the biggest Indian conglomerate in case of the internal wrangles.
Claims of a Power Struggle amongst Trustees.
In the same report, there have been claims by the insiders that the government cannot sit back and watch a section of trustees attempting a coup as has been described.
Darius Khambata, Jehangir HC Jehangir, Pramit Jhaveri and Mehli Mistry were all accused of trying to subvert leadership of Noel Tata by claiming control over issues in the board.
The group has been mentioned to have requested access to minutes of board meetings and ratify independent directors that Tata Sons Nomination and Remuneration Committee chose.
According to sources, these moves have invited serious principal corporate governance issues to the organisation and debate on the top bloc in government and business.
Divided Sentiments on Control of Governance.
One of the major holding companies in the Tata Group, the Dorabji Tata Trust, seems to be withheld into two groups. On one side, there are four trustees reportedly affiliated to one side and Noel Tata and two others stand on the other.
The current tension has resulted in increasing unrest regarding the future leadership model and business strategy of Tata Trusts that forms the core of the ruling of Tata Sons and the larger Tata Group.
Government Watching from above.
According to reports, the Centre is closely monitoring the developments in order to make sure that corporate stability in the Tata Group is not affected. The visit to Amit Shah and Nirmala Sitharaman is under the assumption that the Government wanted to know more about the governance structure of the Trusts and clarification regarding the management structure of the Trusts.
Conclusion
The division that was emerging inside the Tata Trusts that started appearing after the death of Ratan Tata, is now of national business importance. As the Union Government has been keeping a close watch on the situation, the next few months should be critical to the leadership and governance structure of one of the most reputed conglomerates in India.
