Quarterly funding totals have recovered from their lows, and the narrative has shifted accordingly. Round structure, however, is a better read on investor confidence than round size.

What to look for

  • Structured terms — liquidation preferences above 1x, ratchets, and tranche conditions.
  • The share of rounds led by existing investors rather than new ones.
  • Flat and down rounds being closed quietly rather than announced.

A large round with heavy structure is a loan wearing equity's clothing. A smaller clean round led by a new investor is the stronger signal.

Price is what gets announced. Terms are what gets negotiated.
